Item 3.01 | Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing |
As previously disclosed in its Current Reports on Form 8-K filed on April 10, 2020, April 20, 2020, and December 22, 2020, Advaxis, Inc. (the “Company”) received written notice from the staff of the Listing Qualifications Department of The Nasdaq Stock Market LLC (“Nasdaq”) indicating that the Company was not in compliance with the minimum $1.00 bid price requirement for continued listing set forth in Nasdaq Listing Rule 5550(a)(2) (the “Listing Rule”). Following the Company’s transfer from The Nasdaq Global Market to The Nasdaq Capital Market on December 24, 2020, the Company was afforded until June 21, 2021, to regain compliance with the Listing Rule.
On June 22, 2021, the Company received notification from Nasdaq that the Company had not regained compliance with the Listing Rule. The notification indicated that the Company’s common stock would be subject to delisting unless the Company timely requests a hearing before a Nasdaq Hearing Panel (the “Panel”). Accordingly, the Company intends to timely request a hearing before the Panel. The hearing request will stay any suspension or delisting action pending the hearing and the expiration of any additional extension period granted by the Panel following the hearing. In that regard, the listing rules permit the Panel to grant a further extension, which will not extend beyond December 20, 2021.
